General Terms and Conditions for the Sale of Goods

Welcome to the General Terms and Conditions for the Sale of Goods for Noblewood Cabinets LLC ("Noblewood," "we," "our," or "us"). These terms govern all purchases made directly from Noblewood Cabinets LLC. By placing an order, the customer ("Buyer," "you," or "your") agrees to the terms outlined below. These conditions are intended to provide transparency, establish expectations, and define the responsibilities of both Noblewood and the Buyer.

1. Acceptance of Orders

All orders submitted to Noblewood Cabinets LLC constitute an offer to purchase products. Orders become binding only after written confirmation is issued by Noblewood. We reserve the right to accept or decline any order at our discretion. By placing an order, the Buyer acknowledges acceptance of these terms and conditions in full. Any additional terms proposed by the Buyer will not apply unless approved in writing by Noblewood.

2. Pricing and Quotations

All product prices are subject to change without prior notice due to fluctuations in material costs, labor, and market conditions. Written quotations provided by Noblewood are valid for 30 days unless otherwise specified. Once an order is confirmed and payment is received, pricing for that order will be locked. Prices do not include applicable sales taxes, shipping charges, or additional service fees unless otherwise stated. The Buyer is responsible for all applicable taxes and fees.

Custom orders or modified products may require separate pricing. These items are typically non-refundable due to their specialized nature. Noblewood reserves the right to correct any pricing errors and will notify the Buyer before proceeding with the order.

3. Payment Terms

Full payment is required prior to order processing unless otherwise agreed upon in writing. Noblewood accepts various payment methods, including credit cards, bank transfers, and other approved payment options. Late payments may incur additional fees, and Noblewood reserves the right to suspend production or delivery for overdue accounts. Any disputes regarding invoices must be submitted in writing within 30 days of the invoice date.

4. Shipping and Delivery

Products are typically shipped FOB (Free on Board) from Noblewood's warehouse unless otherwise agreed. Ownership and risk of loss transfer to the Buyer once the products leave our facility. Estimated delivery times are provided for convenience and are not guaranteed. Delays due to weather, logistics providers, or unforeseen circumstances may occur.

The Buyer is responsible for shipping costs unless otherwise stated. Upon receipt, the Buyer should inspect all goods immediately. Any damages, shortages, or issues must be reported within 21 days of delivery, along with photographs and relevant documentation.

5. Returns and Exchanges

All returns require prior authorization from Noblewood Cabinets LLC. Requests must be made within 21 days of delivery. Returned items must be in original, unused condition and in unopened packaging. Assembled products, installed cabinets, and custom-made items are not eligible for return.

Approved returns are subject to a restocking fee, typically up to 50% of the product value. The Buyer is responsible for return shipping costs. Refunds, when applicable, may be issued as account credit or original payment method at Noblewood's discretion.

6. Order Cancellations

Orders may be canceled only if processing has not begun. Once assembly, packaging, or custom manufacturing has started, cancellations are not permitted. Ready-to-Assemble (RTA) orders that have already been picked or prepared may incur a restocking fee. Noblewood reserves the right to approve or deny cancellation requests.

7. Product Care and Limited Warranty

Noblewood Cabinets LLC provides a limited warranty covering manufacturing defects for residential installations. Cabinets should be maintained using mild cleaners and soft cloths. Abrasive chemicals, excessive moisture, or improper cleaning methods may void the warranty.

The warranty does not cover:

  • Improper installation
  • Natural wood variations
  • Normal wear and tear
  • Environmental damage
  • Water exposure or flooding
  • Product modifications
  • Improper storage or handling

Defects must be reported before installation. The warranty is limited to repair or replacement of defective parts and does not cover installation, removal, or transportation costs.

8. Limitation of Liability

Noblewood Cabinets LLC shall not be liable for indirect, incidental, or consequential damages including loss of profit, business interruption, or delays. Our total liability shall not exceed the amount paid for the specific order in question.

9. Force Majeure

Noblewood shall not be responsible for delays or failures caused by events beyond reasonable control, including natural disasters, supply chain disruptions, labor shortages, government actions, or transportation issues. In such cases, performance obligations will be suspended until normal operations resume.

10. Governing Law

These terms and conditions shall be governed by and interpreted in accordance with the laws of the state in which Noblewood Cabinets LLC operates. Any disputes shall be handled in the appropriate courts within that jurisdiction.

11. Confidentiality

Any non-public information shared by Noblewood, including pricing, designs, and specifications, is considered confidential. Buyers agree not to disclose or reproduce such information without written consent.

12. Miscellaneous

These terms constitute the entire agreement between Noblewood Cabinets LLC and the Buyer. If any provision is deemed invalid, the remaining provisions will remain enforceable. The Buyer may not assign rights or obligations without written approval from Noblewood. Both parties operate as independent entities, and no partnership or agency relationship is created.
